Terms of Service

Effective September 21, 2026

The agreement between you and Yarcone for using the service.

This document is also published in Hebrew, which is the binding version.

1. Who we are and what you are agreeing to

Yarcone (the "service") is operated by Netanel Peretz, a sole proprietor registered in Israel and trading as Yarcone ("we", "us"), at www.yarcone.com. These terms, together with our Privacy Policy, are the agreement between us and everyone who uses the service.

By creating an account, accepting an invitation, or using the service, you agree to these terms. If you do so on behalf of a business, you confirm that you are authorized to bind it, these terms apply to that business, and "you" includes it and everyone who uses the service through its organization.

We record when each account accepted the terms and which version it accepted. If you do not agree, do not use the service.

2. A few words we use

  • Organization: a business's workspace in the service, with its own orders, members and settings. One subscription covers one organization.
  • Users: people with an account in an organization. Owners and admins run the organization; drivers see the work assigned to them.
  • Recipients: the customers your organization delivers to or collects from. They have no account; they may receive messages and a tracking link from the service.
  • Content: everything your organization enters, imports, uploads or generates through the service: orders, recipient details, photos, signatures, attachments, messages, notes, sales and reports.
  • Plan: the subscription tier your organization is on, with its monthly allowances, as shown on our pricing page or agreed with us in writing.

3. The service

Yarcone is a dispatch and delivery management tool. Today it includes: order intake by hand, by bulk import, or from a connected Google Sheet; delivery zones and automatic assignment; route optimization; a mobile day view for drivers with navigation, photo and signature proof of delivery, and pickup label scanning; a live board with each driver's progress and position; a tracking page for recipients; WhatsApp and SMS updates to recipients and drivers; a two-way WhatsApp inbox; cash-on-delivery and doorstep sales records; and reports, exports and scheduled report emails.

Some features depend on your plan or on switches your organization's admins turn on. The service is under active development: features may be added, changed, or removed. Where a change removes something you rely on, we will try to give reasonable notice.

4. Accounts and access

Keep your account details accurate and your credentials private. Each person needs their own account; do not share a login, including a driver login, between people. Two-factor authentication is available on every account and we recommend it.

Access inside an organization is granted by invitation and scoped by role. Owners and admins control who is in the organization and what they can see; remove people promptly when they leave. You are responsible for everything done through your organization's accounts, and for the actions of the people you invite.

Tell us at once if you suspect an account has been compromised. For security, we may reset credentials, end sessions, or suspend an account, and we may ask for verification before restoring access.

5. Your organization's content

Your organization owns its content. You give us a license to store, process, copy, display and transmit it, including to the service providers named in our Privacy Policy, for the sole purpose of providing, securing, supporting and improving the service and as these terms allow. The license ends when the content is deleted, except for copies in routine backups and records we must keep by law.

Much of that content is other people's personal information: recipients' names, phone numbers and addresses, delivery photos that may show a home, driver locations. Between you and us, your organization is the owner of that information under the Protection of Privacy Law, 5741-1981, and we hold and process it on your instructions. You confirm that you have the right to use it in the service, that you give recipients and staff the notices the law requires, and that you enter only what a delivery needs.

We use organization content only to provide the service, as described in our Privacy Policy. We do not sell it, use it for advertising, or use it to train artificial intelligence models.

6. Drivers and your staff

Drivers use the service as members of your organization. Your organization is their employer or the business they work for; we are not. You decide who drives, what they see, and how you use the information the service produces about their day.

While a driver is on shift in the app and has allowed location access, the service records their position, orders their remaining stops from it, estimates arrival times, and measures the approximate distance they drove each day. The organization's owners and admins can see a driver's live position on shift, and a recipient can see it on the tracking page while that driver is on the way to them. A shift ends when the driver goes offline, and by itself after three hours without activity in the app.

Positions, distances, arrival times, shift times, and the statistics built from them are estimates. They come from the phone's own location reports, which can be missing, late, or inaccurate, and the daily distance fills the gaps between reports with estimated road distance. Treat them as a guide, not a measurement. You are responsible for telling your drivers about this, for making sure your use of it is lawful and proportionate, and for any employment decision, pay calculation, bonus, or dispute that relies on it. The service is not a payroll, attendance, or odometer system, and we do not give employment or labor-law advice.

If your organization turns on driver messages, each driver receives their route summary and route changes by WhatsApp or SMS at the phone number on their account. Drivers must keep their login personal and may use the service only to carry out the work assigned to them.

The driver app keeps the state of the day on the device and sends changes when it has a connection. A weak connection can delay a change reaching dispatch or, rarely, apply it out of order. Check the day's results before you rely on them.

7. Messages to your recipients

If your organization turns on customer notifications, the service sends operational messages about a delivery to the phone numbers on your orders, in your organization's name: a tracking link when an order is created, the outcome of a delivery or pickup, and a payment confirmation. Messages go out over WhatsApp where possible. SMS is a limited backup: it is sent only to Israeli mobile numbers, and it pauses for the rest of the month once your plan's SMS backup allowance is used.

If your organization turns on the WhatsApp inbox, recipients can reply to those messages. Their replies, photos, documents and shared locations are stored and shown to your organization's owners and admins, and your team can answer from the inbox. Within 24 hours of a recipient's last message a reply is free text; after that, WhatsApp only allows an approved template. Every reply you send counts against your plan's monthly message allowance like any other message.

Your organization is the sender of these messages. You are responsible for having the right to contact the people you deliver to, for keeping evidence of that right, and for complying with section 30A of the Communications (Telecommunications and Broadcasting) Law, 5742-1982, and with the rules of WhatsApp and Meta. Use the service only for messages about a delivery. Do not send marketing, promotions, or anything unrelated to the delivery, and do not send content that is unlawful, misleading, or offensive.

Messages are counted against your allowance when a provider accepts them for delivery, whether or not they are ultimately delivered. Delivery depends on the recipient's carrier, WhatsApp, and the number being reachable, none of which we control. We may pause messaging for an organization if recipients complain, if a messaging provider requires it, or if we see misuse.

8. Proof of delivery, payments and sales

Photos, signatures, label scans, timestamps and locations captured in the service are records that help you show what happened at a stop. They are not a certified electronic signature or an identity check, and we do not promise that a court, authority, insurer or customer will accept them. Keep your own records where you need them.

Cash-on-delivery amounts, payment marks and doorstep sales are bookkeeping records that you and your drivers enter. We do not collect, hold or transfer money, we are not a payment provider, and marking an order paid in the service is not a receipt or a tax document. Reconciling what was collected against what was recorded is your responsibility.

9. Routes, maps and estimates

Stop order, road paths, arrival estimates, geocoded addresses, zone assignment, and everything else the service works out automatically are estimates from the information available at the time. Check what matters and use your judgement. Drivers are responsible for driving safely and following traffic laws; navigation is handed to third-party apps that we do not control. Verify addresses independently when a mistake would be costly.

10. Google Sheets and imports

When your organization connects a Google Sheet, you share that spreadsheet with our service account and we read the tabs you open, and today's tab on a schedule. We never write to your spreadsheet. Disconnecting stops the reading and keeps the orders already imported. You are responsible for the content of the spreadsheet and for who can edit it. Files you import by hand are processed and kept as orders in the same way.

11. Acceptable use

You may use the service to run your own delivery operation. You may not:

  • Use the service for anything unlawful, or to store content you have no right to use.
  • Access or try to access another organization's data, or the service's systems beyond your own account.
  • Probe, scan, overload, disrupt, or test the security of the service without our written permission.
  • Copy, scrape, reverse engineer, or build a competing product from the service, or use its content or output to train an artificial intelligence model.
  • Resell, sublicense, or white-label the service without our written permission.
  • Share one login between several people, or work around your plan's limits, for example by deleting records to reset a monthly counter or splitting one business across several organizations.
  • Impersonate someone else, or send messages through the service in a name that is not yours.

Report a security problem you notice to nati@yarcone.com and do not exploit it.

12. Plans, allowances and limits

New organizations are reviewed by us before they are activated. Each subscription covers one organization. Your plan includes monthly allowances, such as the number of orders, drivers, and messages, as shown on our pricing page or agreed with us in writing. Allowances are counted per organization and per calendar month (Israel time), and unused amounts do not carry over.

We do not charge overage. When an allowance is used up, the related feature pauses until the next month or until you move to a bigger plan: new orders are not accepted, or messages, including inbox replies, are not sent. Orders count toward the monthly allowance when they are created, including orders that are later cancelled or deleted. Messages count when they are accepted for delivery.

13. Fees and payment

The service is a paid subscription. Prices are in Israeli shekels, exclude VAT, which is added where the law requires, and are billed monthly in advance at the prices on our pricing page or agreed with us in writing. Invoices and receipts are issued separately from the app. Payment is due by the date on the invoice.

If a payment is overdue we will remind you. If it is still unpaid 7 days after that reminder, we may suspend your organization's access until the balance is settled, and we may charge the collection costs the law allows. Your data is kept while an organization is suspended. Fees already paid are not refunded for a partly used month, except where the law requires it.

We may change prices or plan allowances with at least 30 days' notice. A change applies from your next billing month, and you can cancel before it takes effect.

14. Third-party services

The service relies on providers we do not control: Google for maps, sign-in and spreadsheets; Twilio and WhatsApp (Meta) for messages; and the hosting, storage, email and monitoring providers named in our Privacy Policy. Their availability, pricing, and rules can change and can affect the service. We are not responsible for their acts or outages, and your use of Google, WhatsApp, or any other third-party service is also subject to that service's own terms.

15. Availability, support and changes

We work to keep the service available and to fix problems you report, but we do not promise uninterrupted or error-free operation, and there is no service-level commitment unless we agree one in writing. Support is by email at nati@yarcone.com, within reasonable business hours. Keep your own exports of information you cannot afford to lose.

16. Disclaimer

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy, or non-infringement. Automated results are estimates, and third-party services can fail. You are responsible for checking results, for backups, and for how you run your operation.

17. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, goodwill, or data, arising from the service or these terms, however caused. Our total liability for all claims together is limited to the amounts you paid us for the service in the twelve months before the claim arose. Nothing in these terms limits liability that cannot be limited by law.

18. Your responsibility for claims

You will defend, indemnify and hold us harmless from any claim, demand, loss, fine or expense, including reasonable legal fees, that arises from: content your organization put into the service; messages sent through the service in your name; your drivers' work, employment, or the way you use information about them; or a breach of these terms or of the law by you or by anyone using the service through your organization. We will tell you about such a claim and cooperate with you at your expense.

19. Feedback

If you send us ideas, suggestions or bug reports, we may use them freely to improve the service, without any obligation to you and without payment or credit.

20. Suspension and termination

You can cancel your subscription at any time from the billing page. Cancelling deletes the organization and its content, so export anything you need first. You can also delete your own account from your profile settings.

We may suspend or terminate access that breaches these terms, including for unpaid fees, working around plan limits, misuse of messaging, or a security risk. For a serious breach we may act without notice; otherwise we will give you a chance to fix the problem. After termination, we delete the organization's content following a reasonable wind-down period, as our Privacy Policy describes.

The sections about content, messages, liability, your responsibility for claims, fees owed, and general terms survive termination.

21. Changes to these terms

If we change these terms, we will post the updated version here with a new effective date. For a material change we will notify account holders by email or in the app at least 14 days before it takes effect, and we may ask you to accept the updated terms before you continue. Continuing to use the service after a change takes effect means you accept it.

22. General

  • These terms and the Privacy Policy are the entire agreement between us about the service, unless we sign a separate agreement with your organization, in which case that agreement prevails to the extent it says so.
  • If a part of these terms is unenforceable, the rest stays in force. Not enforcing a term is not a waiver of it.
  • You may not assign these terms without our written consent. We may assign them to a successor of our business, and we will notify you if we do.
  • Neither side is liable for failing to perform because of events beyond its reasonable control, such as war, emergency, strikes, or failures of the internet, power, or a provider.
  • Nothing in these terms creates a partnership, agency, or employment relationship between us.
  • These terms are published in Hebrew and in English. If the two differ, the Hebrew version prevails.

23. Governing law

These terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules. The competent courts in Tel Aviv-Yafo have exclusive jurisdiction over any dispute about the service or these terms.
